Activision Blizzard leaves Vivendi to become an independent company

On July 26, 2013 by Ash Meehan

Activision Blizzard has bought back 429 million shares from Vivendi to become an independent company. The buyback deal from the former majority stake holder cost $5.83 Billion.

The purchase of the shares was spread across multiple parties, with ASAC II LP, an investor group led by Activision Blizzard CEO Bobby Kotick and Co-Chairman Brian Kelly purchasing 172 million Activision Blizzard Shares from Vivendi for $2.34 Billion. Both Kotick and Kelly committed a combined total of $100 million to the purchase of the shares.

With the completion of the deal, Activision Blizzard will be an independent company with the majority of its shares owned by the public. The company will be led by Bobby Kotick as Chief Executive Officer and Brian Kelly as Chairman. Vivendi will still retain 83 million shares or about 12% of the shares. ASAC II LP, the investor group led by Kotick and Kelly will own about 24.9% of the shares in the company.

In an official press release, Bobby Kotick, CEO of Activision Blizzard, said, “These transactions together represent a tremendous opportunity for Activision Blizzard and all its shareholders, including Vivendi. We should emerge even stronger—an independent company with a best-in-class franchise portfolio and the focus and flexibility to drive long-term shareholder value and expand our leadership position as one of the world’s most important entertainment companies. The transactions announced today will allow us to take advantage of attractive financing markets while still retaining more than $3 billion cash on hand to preserve financial stability.”

The purchase of the shares has now left Activision Blizzard in approximately $4.6 Billion of debt.
